1. Agreement to Terms

By accessing or using TownRanker's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.

2. Services Description

TownRanker provides web development, design, and related digital services. Our services include but are not limited to:

• Custom website development
• E-commerce solutions
• Web application development
• Website maintenance and support
• SEO and digital marketing services

3. Project Terms

3.1 Proposals and Quotes

All proposals and quotes are valid for 30 days unless otherwise specified. Prices are subject to change based on project scope modifications.

3.2 Payment Terms

• 50% deposit required to commence work
• Remaining balance due upon project completion
• Monthly retainer clients billed on the 1st of each month
• Late payments subject to 1.5% monthly interest

3.3 Project Timeline

Project timelines are estimates and may be affected by:

• Client response times
• Scope changes
• Third-party dependencies
• Content delivery delays

4. Client Responsibilities

Clients agree to:

• Provide necessary content and materials in a timely manner
• Respond to requests for feedback within reasonable timeframes
• Obtain necessary licenses for any third-party materials
• Ensure all provided content is legal and appropriate

5. Intellectual Property

5.1 Ownership

Upon full payment, clients receive ownership of the custom work created for their project, excluding:

• Pre-existing TownRanker intellectual property
• Third-party licensed materials
• Open-source components

5.2 Portfolio Rights

TownRanker retains the right to display completed work in our portfolio and marketing materials unless otherwise agreed in writing.

6. Warranties and Limitations

6.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner. Any bugs or issues will be addressed for 30 days after project completion at no additional charge.

6.2 Disclaimer

Services are provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

6.3 Limitation of Liability

TownRanker's total liability shall not exceed the amount paid for the services. We are not liable for indirect, incidental, or consequential damages.

7. Confidentiality

Both parties agree to maintain confidentiality of any proprietary information shared during the course of the project.

8. Termination

8.1 Termination by Client

Clients may terminate services with written notice. Payments for work completed to date are non-refundable.

8.2 Termination by TownRanker

We reserve the right to terminate services for:

• Non-payment
• Violation of these terms
• Illegal or unethical requests
• Abusive behavior

9. Indemnification

Client agrees to indemnify and hold TownRanker harmless from any claims arising from:

• Client-provided content
• Violation of third-party rights
• Misuse of delivered services

10. Dispute Resolution

Any disputes shall be resolved through good faith negotiation. If unsuccessful, disputes will be settled through binding arbitration.

11. Governing Law

These Terms shall be governed by the laws of the United States and the state in which TownRanker operates.

12. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of our services constitutes acceptance of updated terms.

13. Entire Agreement

These Terms constitute the entire agreement between TownRanker and the client, superseding any prior agreements or understandings.
